Terms of Service

1. Acceptance of Terms

By accessing and using the IMPI Foods website and wholesale ordering platform, you agree to be bound by these Terms of Service and any applicable agreements you have signed with IMPI Foods LLC. If you do not agree, please do not use this site.

2. Wholesale Accounts

Access to our online store is restricted to approved wholesale customers. You must submit a Wholesale Customer Application and be approved before placing orders. You are responsible for maintaining the confidentiality of your account credentials. Submission of an application does not guarantee approval; IMPI Foods reserves the right to approve or deny any application at its sole discretion.

3. Pricing

All prices on the website are wholesale prices and are subject to change without notice. IMPI Foods will provide reasonable notice of price changes when practicable. Prices in effect at the time an order is confirmed and paid shall apply to that order.

While we strive for accuracy, prices displayed on the website, in emails, or in other communications may occasionally contain errors due to system issues, typographical mistakes, or other causes. IMPI Foods reserves the right to correct any pricing errors and to cancel or refuse any order placed at an incorrect price, whether or not the order has been confirmed or payment received. If an order is canceled due to a pricing error, any payment received will be refunded in full. IMPI Foods shall not be liable for any damages arising from pricing errors.

4. Payment Terms

IMPI Foods does not offer credit terms. All sales are strictly pre-paid. Payment must be received in full and finally settled before any goods are released from the warehouse. Funds are not considered received until they have fully cleared and are no longer subject to reversal, chargeback, or return.

Accepted payment methods include ACH, bank wire, and Zelle. Payment by check is accepted only if you have executed our Check Payment Terms and Risk Allocation Agreement.

5. Shipping & Delivery

Customer is responsible for all freight costs. Shipping method (LTL or parcel ground) is determined by IMPI Foods based on order size. Freight charges are added to the Customer’s invoice. All goods ship FOB origin from our designated warehouse, currently located at 2497 Circle Dr, Royse City, TX 75189 (subject to change with notice).

Risk of loss transfers to Customer upon tender to the carrier. Customer may elect carrier-offered transit insurance at Customer’s expense by notifying IMPI Foods in writing prior to shipment.

6. LTL Freight Surcharges

Shipments via LTL freight may be subject to accessorial charges assessed by the carrier, including but not limited to liftgate service, inside delivery, limited-access location fees, residential delivery surcharges, re-delivery fees, and address corrections. Customer agrees to provide accurate shipping and receiving requirements at the time the order is placed. Any accessorial fees incurred will be invoiced to Customer.

7. Returns & Product Issues

Customer must inspect all shipments upon receipt and report any damage, shortage, or quality concerns in writing within 48 hours of delivery. Claims not reported within this timeframe are waived. No returns are accepted without prior written authorization. Authorized returns must be in original, unopened, and resalable condition. Our liability for any product issue is limited to replacement of the affected goods or a credit not exceeding the invoice value of the affected items.

8. Order Cancellation

Orders may be modified or canceled only if IMPI Foods has not yet begun picking, staging, or preparing the order for shipment. Once an order has been picked, staged, or tendered to a carrier, it cannot be canceled. A restocking fee of up to 15% of the order value may apply to approved cancellations.

9. Resale & Tax Information

Goods purchased from IMPI Foods are intended for resale. A valid resale or tax exemption certificate must be provided prior to shipment, if applicable.

10. Product Warranty & Limitation of Liability

IMPI Foods warrants that products conform to their label specifications at the time of shipment. IMPI Foods makes no other warranties, express or implied, including any implied warranty of merchantability or fitness for a particular purpose. In no event shall IMPI Foods’ total liability exceed the purchase price of the goods giving rise to the claim.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, supply chain disruptions, labor disputes, or transportation failures.

12. Termination

Either party may terminate the wholesale relationship by providing written notice, provided there are no pending orders at the time of termination. Termination does not relieve Customer of any outstanding payment obligations.

13. Governing Law

These terms are governed by and construed in accordance with the laws of the State of Texas. Any disputes shall be resolved exclusively in the state or federal courts located in Rockwall County, Texas, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

IMPI Foods reserves the right to update these terms at any time. Continued use of the site after changes constitutes acceptance of the revised terms.
